Affiliate Program Terms

1. Agreement

By applying to or participating in the LeadDuo Affiliate Program ("Program"), you ("Affiliate") agree to be bound by these Affiliate Program Terms ("Terms"). These Terms constitute a legal agreement between you and Three Core AI LLC ("Company", "we", "us", or "our"), the operator of LeadDuo.

2. Program Overview

The LeadDuo Affiliate Program allows approved affiliates to earn commissions by referring new paying customers to LeadDuo. Commission rates and terms are subject to change at our discretion.

• Current commission rate: 20% of actual payments received
• Commission duration: 6 months from the referred customer's first payment
• Payout timing: Commissions become eligible 30 days after we receive payment
• Payout schedule: Monthly on the 21st for all eligible commissions
• Minimum payout: $50 USD for US affiliates, $250 USD for international affiliates (accumulates until reached)

3. International Affiliates & Payment Methods

We welcome affiliates from around the world. Payment methods vary by region:

Tax Information: All affiliates are responsible for reporting and paying any applicable taxes on their affiliate earnings in their jurisdiction. US affiliates earning $600+ will receive a 1099 form. International affiliates may be required to complete a W-8BEN form.

4. Eligibility

To participate in the Program, you must: (a) be at least 18 years old; (b) have a valid website, blog, social media presence, or other legitimate marketing channel; (c) provide accurate and complete information in your application; (d) comply with all applicable laws and regulations in your country; and (e) not be a current employee or contractor of Three Core AI LLC.

5. Prohibited Activities

Affiliates are prohibited from:

• Self-referrals or referring your own accounts
• Using paid search ads that bid on "LeadDuo" or related trademarks
• Creating fake accounts, leads, or transactions
• Using spam, unsolicited emails, or deceptive marketing practices
• Making false or misleading claims about LeadDuo
• Cookie stuffing, click fraud, or any form of traffic manipulation
• Offering unauthorized discounts, coupons, or incentives
• Violating any applicable laws, regulations, or third-party rights

6. Commission Calculation & Payment

Commissions are calculated based on the actual amount paid by the referred customer after any discounts, refunds, or chargebacks. We use last-touch attribution with a 30-day cookie window.

• Commissions are tracked automatically via your unique referral link
• Payouts are processed on the 21st of each month
• Commissions become eligible for payout 30 days after we receive payment
• Annual plans: Commission is paid monthly over 6 months (not upfront) to protect against cancellations
• Minimum payout threshold: subject to minimum payout threshold (see Section 2)
• Refunds or cancellations will result in remaining commission payments being cancelled
• We reserve the right to withhold payment pending fraud investigation

7. Termination & Suspension

We reserve the right to suspend or terminate your affiliate account at any time, for any reason, at our sole discretion. Reasons for termination may include, but are not limited to:

• Violation of these Terms or any applicable laws
• Suspected fraudulent or suspicious activity
• Inactivity for 12 consecutive months
• Damage to LeadDuo's brand or reputation
• Any other reason at our sole discretion

Upon termination, commissions associated with fraud, abuse, or violation of these Terms may be forfeited. Legitimately earned commissions that have become eligible for payout prior to termination will be paid according to the standard payout schedule.

8. Intellectual Property

We grant you a limited, non-exclusive, revocable license to use LeadDuo's name, logo, and approved marketing materials solely for the purpose of promoting LeadDuo under this Program. You may not modify our trademarks or use them in a way that suggests endorsement beyond the affiliate relationship.

9. Disclaimer & Limitation of Liability

THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE PROGRAM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS ACTUALLY PAID TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Three Core AI LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your participation in the Program, your violation of these Terms, or your violation of any third-party rights.

11. Modifications

We may modify these Terms at any time by posting updated terms on our website. Continued participation in the Program after changes are posted constitutes acceptance of the modified Terms. Material changes to commission rates or payment terms will be communicated via email with 30 days notice.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
